Welcome to the Terms & Conditions ("Terms", "Agreement") of the Commodity-B2B platform services and website https://commodity-b2b.com, which enable users to find each other, post listings, access contact details and communicate directly about potential transactions. The Platform services are owned and operated by the Commodity-B2B team ("Commodity-B2B", "Administration", "We").
By using the Commodity-B2B website and services, you agree to comply with these Terms. Your consent is deemed given when you check the "I agree" box on the registration page. If you do not agree, please immediately cease using and visiting our website.

Important: Commodity-B2B operates exclusively as an online platform (information classified) that enables users to post listings, find counterparties and communicate. Commodity-B2B is NOT a buyer, seller, broker, agent, carrier, freight forwarder, insurer or escrow agent in any transaction between users. All negotiations, contracts and settlements are conducted directly between Users without Platform involvement.
By posting on the B2B Marketplace, you as Supplier bear sole responsibility for accuracy of all information provided. You are solely responsible for managing all transactions including invoicing, payment collection and delivery logistics. All negotiations, contracts, payments and deliveries are made directly between you and the Buyer. Commodity-B2B is not a party to any such transactions.
You retain any copyright or other rights you may have in content provided through the Platform. By providing content, you grant Commodity-B2B a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, distribute and display the content solely for operating and improving the Platform services.
Commodity-B2B may, but is not obligated to, monitor, review, filter, reject or remove any User Content at any time at its sole discretion.
Buyers may initiate contact by clicking the Contact button on a listing. Commodity-B2B does not participate in, control or become party to any negotiations, contracts, payments or deliveries between Buyers and Suppliers. Commodity-B2B does not conduct due diligence on counterparties on your behalf.
The RFQ tool helps Buyers connect with Suppliers. Commodity-B2B does not guarantee that any Supplier will respond to an RFQ. Each RFQ is solely an invitation for Suppliers to submit non-binding offers. Commodity-B2B is not liable for any losses arising from use of the RFQ tool.
You are fully responsible for maintaining confidentiality of your password and account. You agree to provide accurate, current and complete information. Account transfer to third parties is strictly prohibited without prior written permission of Commodity-B2B.
Any personal information you provide will be processed in accordance with our Privacy Policy. By using Commodity-B2B services, you fully accept the terms of our Privacy Policy.
7.1 All transactions between Users (Suppliers, Buyers and Logistics Providers) including payments, settlements and refunds are conducted entirely outside of Commodity-B2B's Website and Services. Commodity-B2B does not collect, process or mediate payments between users.
7.2 Commodity-B2B does not open, hold or control any payment or deposit accounts for Users. The Platform is not a payment service provider, bank, money transfer operator, escrow agent or financial institution.
7.3 Disclaimer: Commodity-B2B fully disclaims any liability for disputes, non-payment, fraud, non-delivery or any other issues arising from direct transactions between Users.
8.1 The following are strictly prohibited on Commodity-B2B:
8.2 Prohibited goods include: weapons and dual-use items, narcotics, counterfeit goods, hazardous materials, uncertified consumer goods, sanctioned goods and persons.
8.3 Each User bears sole responsibility for legal classification of goods, obtaining all required licenses and permits.
All content on Commodity-B2B is protected by copyright, trademarks and other intellectual property rights. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for your own internal B2B business purposes.
Commodity-B2B respects intellectual property rights. To report copyright infringement, send a notice to our contact email with: description of the copyrighted work, URL of infringing material, your contact information, good faith statement, and signature.
ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. Commodity-B2B expressly disclaims all implied warranties including merchantability, fitness for a particular purpose and non-infringement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Commodity-B2B shall not be liable for any indirect, incidental, special, punitive or consequential damages. Total aggregate liability is limited to the greater of: (1) amounts actually paid by you to Commodity-B2B in the 12 months preceding the claim, or (2) USD 100.
You agree to indemnify and hold harmless Commodity-B2B, its affiliates, officers and employees from any claims, liabilities, damages and expenses arising from your use of the Services, violation of these Terms, or your User Content.
Commodity-B2B is not a party to any transactions or disputes between Users. Users bear sole responsibility for resolving disputes directly. Commodity-B2B does not mediate commercial disputes.
Any disputes arising from these Terms shall be resolved by binding individual arbitration.
Class Action Waiver: Users agree not to initiate or join any class action lawsuits against Commodity-B2B.
Commodity-B2B reserves the right to modify, suspend or discontinue any part of the Services at any time. Changes to these Terms take effect immediately upon publication on the Website. Continued use constitutes acceptance.
The Website may contain links to third-party websites. Commodity-B2B does not control and is not responsible for third-party content, privacy practices or availability.
Commodity-B2B is released from liability for non-performance caused by circumstances beyond its control including natural disasters, war, government actions, pandemics, and large-scale technical failures.
19.1 These Terms together with the Privacy Policy constitute the entire agreement between you and Commodity-B2B.
19.2 If any provision is found invalid, remaining provisions remain in full force.
19.3 Failure to enforce any right does not constitute a waiver.
19.4 You may not assign your rights under this Agreement without prior written consent.
19.5 The English language version of this Agreement has absolute legal priority over any translations.
